Terms of Service

1. Overview

Payed provides a digital transaction platform that facilitates conditional payments between buyers and sellers.

Payed is not a bank and does not provide credit.

2. Eligibility

You must:

• Be at least 18 years old
• Be legally capable of entering a contract
• Provide accurate information
• Pass identity verification if required

We reserve the right to refuse service.

3. Nature of Service

Payed facilitates conditional payment transactions where:

• A buyer submits funds
• Funds are held pending transaction conditions
• Funds are released upon agreed completion

Payed does not guarantee product quality, delivery, or legality.

4. Fees

• Fees are disclosed before transaction confirmation.
• Payed may deduct fees before releasing funds.
• Fees are non-refundable except where required by law.

5. Prohibited Transactions

Users may not use Payed for:

• Illegal goods or services
• Fraudulent activity
• Sanctioned persons or jurisdictions
• Weapons, drugs, stolen goods
• High-risk financial schemes

Accounts may be suspended for violations.

6. Disputes

If a dispute arises:

• Funds may be temporarily held
• Both parties must provide evidence
• Payed may determine outcome in good faith
• If a resolution cannot be reached within the platform, the evidence and the case will be handed over to a third party disputes service, as directed by the financial regsitrations services of New Zealand
• Payed’s decision is final unless required otherwise by law

7. AML and Compliance

Payed may:

• Request additional identity documentation
• Delay transactions for compliance review
• Report suspicious activity
• Freeze or terminate accounts

Users agree to comply with AML/CFT obligations.

8. Account Suspension and Termination

We may suspend or terminate accounts for:

• Breach of terms
• Fraud risk
• Legal or regulatory requirements

Funds may be held where legally required.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law:

• Payed is not liable for indirect or consequential loss
• Liability is limited to fees paid for the specific transaction
• Nothing excludes liability that cannot legally be excluded

10. Intellectual Property

All platform content and branding remain the property of Payed Limited.

11. Governing Law

These Terms are governed by the laws of New Zealand.
